Terms of Service

The agreement between you and SquadSpace governing your access to and use of the service.

In plain terms

Use SquadSpace lawfully and you keep full ownership of everything you upload. We only process your content to run the service — including sending it to AI providers to power features you invoke. SquadSpace is a paid subscription service, provided “as is,” and disputes are handled under the law of Japan.

01Agreement to these terms

These Terms of Service (“Terms”) form a binding agreement between you and Ajay Shenoy, sole proprietorship based in Japan (“SquadSpace”, “we”, “us”), governing your use of SquadSpace at www.squadspace.co and related services (the “Service”). By accessing or using the Service you agree to these Terms and to our Privacy Policy, Acceptable Use Policy, and AI Disclosure. If you do not agree, do not use the Service.

02Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction if higher, to use the Service. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

03The Service

SquadSpace is an AI-native media workspace for creating, reviewing, captioning, and approving video and other media with a team. Features include collaborative review, auto-captioning, AI assistants, a document editor, and shareable review links. We may add, change, or remove features over time.

The Service is currently offered as a paid subscription service. Features, limits, and availability may change as the product evolves.

04Accounts & guests

You may use parts of the Service as a guest without a full account. Where accounts exist, you are responsible for activity under your account and for keeping your credentials secure. Notify us promptly of any unauthorized use. You are responsible for the people you invite into your workspace and for the content they contribute.

05Your content & the license you grant us

You retain all ownership of the media, documents, comments, and other materials you upload or create (“Your Content”). We claim no ownership over it.

To operate the Service, you grant SquadSpace a worldwide, non-exclusive, royalty-free license to host, store, reproduce, transcode, display, and transmit Your Content solely to provide and improve the Service for you and the people you share it with — including transmitting it to the third-party infrastructure and AI providers listed in our Subprocessors list when you use features that rely on them. This license ends when you delete Your Content or close your account, except for residual copies in backups that age out on our normal cycle.

06Acceptable use

Your use of the Service must comply with our Acceptable Use Policy. In short: nothing illegal, infringing, or abusive, and no attempts to break, overload, or reverse-engineer the Service. We may suspend or terminate access for violations.

07AI features & third-party services

Certain features send Your Content to third-party AI providers for processing. Your use of these features is additionally governed by our AI Disclosure. AI output can be inaccurate or incomplete; you are responsible for reviewing it before relying on it. The Service also integrates third-party infrastructure whose terms may apply to their portion of the Service.

08Fees

The Service is currently a paid subscription service. Pricing and billing terms are presented before you subscribe to a paid plan, and any refunds are governed by our Refund Policy. We will give reasonable notice before changing what a plan includes or its price.

09Our intellectual property

The Service itself — software, design, SquadSpace marks, and all related IP — belongs to us and our licensors. These Terms grant you no rights to our IP except the limited right to use the Service. Don’t use our branding without written permission.

10Feedback

If you send us ideas or suggestions, we may use them without restriction or obligation to you.

11Termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service or other users. On termination your license to use the Service ends; sections that by their nature should survive (ownership, disclaimers, liability limits, governing law) survive.

12Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that AI output will be accurate. You use the Service at your own risk, to the fullest extent permitted by law.

13Limitation of liability

To the fullest extent permitted by law, SquadSpace will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of data, revenue, or profits, arising from your use of the Service. Where liability cannot be excluded, our total liability is limited to the greater of the amount you paid us in the 12 months before the claim, or ¥10,000. Nothing in these Terms limits liability that cannot be limited under applicable law, including the mandatory consumer protections of Japan.

14Indemnity

You agree to indemnify SquadSpace against third-party claims arising from Your Content or your misuse of the Service, except to the extent caused by us.

15Governing law & disputes

These Terms are governed by the laws of Japan, without regard to conflict-of-laws rules. You and SquadSpace submit to the exclusive jurisdiction of the courts of Tokyo, Japan, subject to any mandatory consumer rights that entitle you to bring proceedings in your country of residence.

16Changes

We may update these Terms. Material changes will be posted here with a new “Last updated” date and, where appropriate, additional notice. Continued use after changes take effect means you accept them.
